These Terms & Conditions govern the appointment and operation of independent State Agents who subscribe to the BlogsAndDreams platform.

1. Parties

These Terms form a binding agreement between PeachWorx Limited (“we”, “us”, “our”) and the subscribing State Agent (“you”, “your”).

2. Purpose of Agreement

You are subscribing to operate an exclusive state territory on the BlogsAndDreams platform.

3. Subscription Fee

The subscription fee is $49 per month, payable in advance. This fee grants you access to the services described below.

4. State Website Allocation

For the duration of your subscription, we will provide you with a dedicated state website under the BlogsAndDreams domain, formatted as:

blogsanddreams.com/[name-of-state]

5. Contact Form Setup

We will configure the contact form on your state page so that all enquiries are redirected to your email address.

6. Display of Your Details

Your name and/or company name will be added to the contact details section of your state page.

7. Exclusivity

While your subscription remains active and in good standing:

• You are the exclusive agent for your state.
• We will not appoint any other agent for the same state.

8. Non‑Payment

If you fail to pay any monthly subscription fee, we may suspend access to your state page or remove it entirely at our discretion.

9. Independent Agent Status

You act as an independent agent, not as an employee, partner, representative, branch, or subsidiary of PeachWorx Limited or BlogsAndDreams.

10. Taxes

You are solely responsible for your own taxes, reporting obligations, and any business registrations required in your jurisdiction.

11. Brand Conduct

You agree to represent the BlogsAndDreams brand professionally and avoid any behaviour that may damage its reputation. We reserve the right to suspend or terminate your agreement if your conduct harms or risks harming the brand.

12. Pricing Consistency

You may charge clients any amount you choose. However, the published prices on the BlogsAndDreams website will remain consistent across all states to maintain corporate branding.

13. Payment Links & Revenue Split

We will set up payment links for services such as social posting and blog writing. These links will use Stripe Connect, where:

• 95% of the sales income is transferred to you
• 5% is transferred to us as a maintenance fee

This 5% is a charge to you, not to the customer.

14. Insolvency

If you become insolvent, bankrupt, or cease trading, your appointment as a State Agent automatically terminates.

15. Class Action Waiver

You agree that you cannot bring a class action or collective claim against PeachWorx Limited. Any disputes must be handled individually.

16. Termination

We may terminate this agreement if you breach these Terms, damage the brand, fail to pay subscription fees, or act unlawfully. You may terminate at any time by cancelling your subscription.

17. Intellectual Property

All branding, logos, website content, and platform materials remain the property of PeachWorx Limited. You receive a license to use the state page while your subscription is active.

18. Limitation of Liability

We are not liable for loss of income, business, data, or any indirect or consequential damages. Our maximum liability is limited to the amount you have paid in subscription fees in the previous three months.

19. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England and Wales.

20. Entire Agreement

These Terms constitute the entire agreement between you and PeachWorx Limited regarding your state agent subscription.
